Hi there,
You are comparing two *really* nice, similar bags. WM and Marmot are both really warm for their ratings (and their fill weight vs. total weight ratio is about the same). The EQ version does use Marmot's Membrane, but the Microlite XP fabric is very water resistant too. You might consider that the EQ material might be a little clammier, but you really can't go wrong with either.
